This questionnaire must be completed and signed by all companies operating within the framework of Law No 007/2021 of 05/02/2021 governing companies in Rwanda.


The purpose of this questionnaire is to monitor the fulfillment by companies of their obligations under the law governing companies.


The questionnaire is also intended to permit the Office of the Registrar General to gather statistics relevant for the upcoming peer review of Rwanda’s compliance with International Standards on Transparency and Exchange of Information by the Global Forum on Transparency and Exchange of Information for Tax Purposes.

The survey must be completed by a Director or Company Secretary or a dully authorized representative of the company.

Ce questionnaire doit être rempli et signé par toutes les sociétés commerciales opérant dans le cadre de la Loi N° 007/2021 du 05/02/2021 régissant les sociétés commerciales au Rwanda.


L’objectif de ce questionnaire est de faire le suivi du respect par les sociétés commerciales de leurs obligations prévues par la loi régissant les sociétés commerciales.


Ce questionnaire a aussi pour objectif de permettre à l’Office du Registraire Général de collecter des données importantes pour l’examen par les pairs à venir sur la conformité du Rwanda avec les Normes Internationales sur la Transparence et l’Echange de renseignements par le Forum mondial sur la transparence et l'échange de renseignements à des fins fiscales.


Le questionnaire doit être rempli par l’Administrateur ou le Secrétaire de société ou un représentant dûment autorisé par la société.

34. Pursuant to article 121 of the law governing companies, there is a legal obligation for companies to keep accurate accounting records and supporting documents. Does your company comply with this obligation?

34. Pursuant to article 123, the balance sheet of a company must comply with international standards. In particular, all financial statements must contain explanatory notes on significant company’s policies, trends, risks, uncertainties and other factors influencing the reporting. Are these records prepared in keeping with internationally recognized accounting standards?

36.Pursuant to article 142 of the law governing companies, there is a legal requirement for companies to deliver to the Registrar General not later than seven (7) months after its Accounting reference date in the case of a private company, and four (4) months after its accounting reference date in the case of a public company:

  • A copy of signed and approved annual accounts;
  • A copy of the auditor's report on those accounts;
  • The reports of directors relating to the same accounting period as those annual accounts.
